Part 1
Client Service Terms
These terms apply to every paid engagement with Co-oppetition Consulting: camps and schools packages, small business training and advisory, and Co-oppetition Connects. Effective October 6, 2026.
1.1Who these terms cover
"We" means Jeffrey Bowman, a sole proprietor carrying on business as Co-oppetition Consulting (Ontario Business Identification Number 1001766560). "You" means the organization that engages us. The person who signs or accepts a proposal on your behalf confirms they have authority to bind you. Each engagement has a written proposal or statement of work (SOW) that sets scope, fee and timeline. If the SOW and these terms conflict, the SOW wins.
1.2Scope and pricing
We do not publish fixed prices in these terms. Each engagement's fee, payment schedule and timeline are set in a written proposal or SOW based on your needs, and the fee amount is the same whether you are billed in Canadian or US dollars. We confirm scope and the final fee in writing after a free 30–45-minute intro consultation, or after an assessment for hands-on packages. Work outside the agreed scope needs a written change request with its own fee before we start it.
We may decline or discontinue any work that we reasonably believe is unlawful, could harm individuals or communities, or conflicts with our mission and values. If we discontinue work for this reason, you pay only for work done to that date.
1.3Fees and payment
- Fees for clients located outside Canada are in US dollars. For clients in Canada, fees are in Canadian dollars. We are not registered for HST, so we do not add HST to our invoices. If we register, we will tell you in writing and add HST to invoices issued after that date.
- Hands-on packages: 50% deposit at signing, balance on completion. All deposits are non-refundable. Engagements over 6 weeks are billed at milestones set in the SOW.
- Invoices are due within 15 days. Overdue amounts carry interest of 1.5% a month (19.56% a year, compounded monthly), or the maximum rate the law allows, whichever is less. We may pause work on any invoice more than 30 days overdue.
- Expenses such as travel or software you ask us to buy are billed at cost, only with your written approval in advance.
1.4Credits toward hands-on work
The Self-Guided Toolkit fee and the Systems & Data Assessment fee are credited in full toward Leverage & Enhance, Evaluate & Switch or Start From Scratch, if you sign that package within 90 days.
1.5Your responsibilities
To keep the timeline, you agree to:
- Name one contact person who can make decisions or get them made.
- Give us timely access to the people, systems and data the SOW needs.
- Hold your own software licences and vendor contracts.
- Back up your systems and data before we change any configuration in them.
Delays caused by missing access or decisions move the timeline and may change the fee.
1.6Scheduling and cancellation
- Sessions can be moved free of charge with 2 business days' notice. Later changes or no-shows count as a delivered session.
- Training deposits are non-refundable. If you cancel at least 7 days before the session, the deposit may be applied to a rescheduled session within 90 days.
- If you cancel a project, you pay for work done to the cancellation date and any approved expenses already committed. The deposit is applied to that amount; any unused balance of the deposit is not refunded.
1.7Vendor independence
We are vendor-agnostic. We do not resell software and do not take referral fees or commissions from vendors we recommend. If we ever have a relationship with a vendor under consideration, we disclose it in writing before you decide. Your contracts with software vendors are between you and them, and we are not responsible for a vendor's product, pricing or performance.
1.8Confidentiality and your data
Each side keeps the other's non-public information confidential and uses it only for the engagement. This lasts for 3 years after the engagement ends, and for as long as we hold it for personal information. It does not cover public information, information already known to the receiver, information the receiver develops independently, or information received from a third party without a confidentiality obligation. Either side may share the other's confidential information with its professional advisors and contractors who need it for the engagement and are bound by equivalent confidentiality obligations. If either side must disclose confidential information by law or court order, it will give the other side prompt notice, where the law allows, so they can seek protection or the information required to be disclosed by law.
We handle personal information about your campers, students, families, staff and customers only as the work requires, following Canada's PIPEDA and applicable Ontario law. We use reasonable technical and organizational measures to protect it, and we will notify you without undue delay if we become aware of a security incident affecting your data. At the end of the engagement, we return or securely delete it, as you choose.
We may use information from engagements and our tools in aggregated, de-identified form, so that neither you nor any individual can be identified, to improve our services and to produce benchmarks and insights. Our handling of personal information is also described in our Privacy Notice (Part 3), which forms part of these terms.
1.9Deliverables and ownership
Once you have paid in full, you own the deliverables made for you: reports, configurations, workflows and documentation. We retain ownership of our tools, templates, frameworks, and know-how, including the Toolkit; you receive a permanent, non-exclusive license to use them within your organization. We will not name you as a client publicly without your permission.
1.10Limits of liability
We give professional advice and implementation support. Results depend on your team, your data and your vendors, so we do not guarantee specific outcomes such as enrollment, revenue or savings. We do not give legal, tax, accounting or financial advice.
Our total liability for any claim about an engagement is capped at the fees you paid us for that engagement in the 12 months before the claim. Neither side is liable for indirect or consequential losses, such as lost profits or lost data, except where the law does not allow this limit. These limits do not apply to either side's gross negligence, willful misconduct or fraud, or to any liability that cannot be limited under applicable law.
1.11Ending an engagement
Either side may end an engagement with 14 days' written notice. Either side may end it immediately if the other materially breaches these terms and does not fix the breach within 10 days of written notice, or if the other becomes insolvent or bankrupt. On termination, you pay for work done to that date, and we hand over the completed work. Sections 1.3, 1.8, 1.9, 1.10 and 1.12 continue to apply after the engagement ends.
1.12General
- These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. If a dispute arises, we will each first try in good faith to resolve it directly, then through mediation in Toronto if either side requests it. Disputes that are not resolved that way go to the courts in Toronto.
- We work as an independent contractor, not as your employee or agent.
- Changes to an engagement must be in writing; email is enough.
- Notices go to info@cooppetition.com and to the contact named in your SOW.
- These terms, with your SOW, are the whole agreement for the engagement.
- Neither side is responsible for delays caused by events beyond its reasonable control, such as illness, natural disasters, government actions or internet outages; the timeline is extended accordingly.
- If any part of these terms is found unenforceable, the rest still applies. Not enforcing a term on one occasion does not waive it later.
- Neither side may assign an engagement without the other's written consent, except that we may assign it to a successor to our business.
- You may accept a proposal electronically, including by email or by clicking to accept; that counts as a signature under Ontario's Electronic Commerce Act, 2000.
Part 2
Website Terms of Use
These terms apply to anyone using cooppetition.com and its free tools. By using the site, you accept them. Effective October 6, 2026.
2.1The free tools
The site offers free self-checks (camps, schools and small business), systems and data assessments, a vendor assessment and a sales readiness calculator. They give general, automated guidance based only on the answers you enter. Scores, recommendations and package suggestions are a starting point for a conversation, not professional advice about your organization. The tools are intended for use by adults acting on behalf of an organization; please do not submit personal information if you are under 18.
Fees are set only in a written proposal (see Part 1).
2.2Unlocking results and PDFs
Some tools ask for your name, work email and organization before showing full results or sending a results PDF. By submitting that form, you agree that we may contact you about your results and our services. You can opt out at any time (see Part 3).
2.3Client assessment links
Some pages are private questionnaires we send to clients' staff. They are meant only for the people we sent them to. Please do not share those links.
2.4Acceptable use
You agree not to:
- Submit false information or someone else's contact details.
- Use bots or scripts to submit forms or tools, or try to get around our spam protection.
- Copy, scrape or resell the site's content or tools, or reverse-engineer their scoring models.
- Interfere with the site's security or operation.
2.5Our content
The site's text, tools, scoring models, designs and the Co-oppetition name and logo belong to Jeffrey Bowman, operating as Co-oppetition Consulting. You may share links and quote short passages with credit. Anything more needs our written permission.
2.6Links to other sites
The site links to other sites, including LinkedIn, software vendors and apps. We do not control them and are not responsible for their content or privacy practices.
2.7No warranty and limits of liability
The site and tools are provided as is, free of charge. We work to keep them accurate and available but do not promise they are error-free or always online. To the extent the law allows, we are not liable for any loss arising from using the site or relying on a tool result.
2.8Changes and governing law
We may update these terms; the effective date above shows the current version. Ontario law and the federal laws of Canada that apply there govern these terms. Questions go to info@cooppetition.com.
